Terms of Service

1. Who we are
StockTree is operated by James Birtwell, a sole trader based in England, trading as StockTree ("we", "us", "our"). You can contact us at [email protected].
2. What these terms cover
These terms apply when you access or use the StockTree website at stocktree.org, the web application at app.stocktree.org, any associated mobile applications, and any related APIs (together, the "Service"). By creating an account or using the Service you agree to these terms. If you do not agree, please do not use the Service.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or organisation, you confirm that you have authority to bind that entity to these terms.
4. Your account
- You must provide accurate information when creating an account.
- You are responsible for keeping your login credentials secure. We recommend using a strong, unique password.
- You are responsible for all activity that occurs under your account.
- Notify us immediately at [email protected] if you believe your account has been compromised.
5. Teams and collaboration
The Service is organised around "Teams". Each Team has an owner (admin) who can invite members and assign roles. Team admins are responsible for managing access and permissions within their Team. If you are invited to join a Team, the Team admin controls your level of access and may remove you at any time.
6. Your content
"Your Content" means any data, text, images, or other material you upload or create through the Service, including product information, inventory records, location structures, and product images.
- You own your content. We do not claim ownership of Your Content.
- You grant us a limited licence to host, store, back up, and display Your Content solely for the purpose of providing and improving the Service.
- You are responsible for ensuring you have the right to upload any content you provide, including images.
- We may remove content that violates these terms or applicable law.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or to track inventory of illegal goods.
- Attempt to gain unauthorised access to any part of the Service or its infrastructure.
- Interfere with or disrupt the Service or servers connected to it.
- Upload viruses, malware, or any harmful code.
- Use automated means (bots, scrapers) to access the Service without our written permission.
- Impersonate another person or misrepresent your affiliation with any entity.
- Resell, sublicence, or redistribute the Service without our prior written consent.
8. Pricing and payment
StockTree offers a free tier and a paid Premium tier. Current pricing is published on our pricing page.
- During our Early Access period, all features are available at no charge. We will give you at least 30 days' notice before Early Access ends and billing begins.
- Premium subscriptions are billed per Team on a monthly basis. Prices are displayed in your local currency where available.
- We may change our prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.
- All fees are exclusive of applicable taxes unless stated otherwise.
9. Cancellation and refunds
- You may cancel your account or downgrade your Team at any time from your account settings.
- If you cancel a paid subscription, you will retain access to Premium features until the end of your current billing period.
- We do not provide prorated refunds for partial billing periods, but we may make exceptions at our discretion.
- We may terminate or suspend your account if you breach these terms, with notice where reasonably possible.
10. Data portability
You can export Your Content at any time using the export features within the Service. If you close your account, we will make your data available for export for a reasonable period (at least 30 days) before deletion, unless required by law to delete it sooner.
11. Service availability
- We aim to keep the Service available 24/7 but do not guarantee uninterrupted access. Downtime may occur for maintenance, updates, or circumstances beyond our control.
- We will make reasonable efforts to notify you in advance of planned maintenance.
- The Service is provided on an "as is" and "as available" basis.
12. Intellectual property
All rights in the Service (including the software, design, branding, and documentation) belong to us or our licensors. These terms do not grant you any rights to our trademarks, logos, or brand features. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
13. Limitation of liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
- Our total liability for any claims arising from or related to the Service is limited to the amount you have paid us in the 12 months preceding the claim, or £100, whichever is greater.
- Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
14. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these terms, or your violation of any third party's rights.
15. Changes to these terms
We may update these terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you should stop using the Service.
16. Governing law and disputes
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer in the European Union, United Kingdom, Australia, or Canada, nothing in these terms affects your statutory consumer rights under the laws of your country of residence.
17. General
- If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
- Our failure to enforce any right or provision does not constitute a waiver of that right.
- These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
